Audio Pro Network

End User License Agreement

Version 1.4 · Effective October 17, 2026 · Covers all Audio Pro Network software, free and paid

The short version

Legal documents are about as fun as a corrupted session file, so here's the deal in plain English. The full agreement below is what actually counts, so please read it too.

What you CAN do

What you CAN'T do

Your files stay yours. The free web apps work inside your browser. Your audio and video never get uploaded to us. In the paid suite, APN Console is the only app that goes online, to handle your license and deliver apps and updates. Every other app works completely offline, with nothing fetched and nothing sent.

Refunds. There are none. That's what the free 7-day trial is for, so use it before you buy. If something you paid for is genuinely broken within 30 days of purchase, tell us and we'll work to fix it.

Disputes. If something goes wrong, email us first and we'll try to sort it out. If we can't, disputes go to individual arbitration, not court, and not as part of a class action (Section A12).

The serious bit. Break these rules and we can end your license. Please respect the work. It's one person building these, and your support keeps new apps coming.

Audio Pro Network Inc., a New York corporation

Effective date: October 17, 2026

Last updated: October 21, 2026

This End User License Agreement ("Agreement") is a legal agreement between you and Audio Pro Network Inc. ("Audio Pro Network," "we," "us," "our"). It covers every software product we make available, free or paid. It does not cover the Audio Industry News page (NEWSR) at audiopronetwork.com/apps/newsr, and any earlier address it used, including /apps/apn-newsr, which is a website page governed by the site's Terms of Use and Privacy Policy.

Part A applies to all Software. Part B adds terms for the Free Web Apps. Part C adds terms for APN Console and the Suite. If Part B or Part C conflicts with Part A, the more specific Part controls for that Software.

Acceptance. You accept this Agreement by doing any of the following: checking the acceptance box at checkout, accepting it on first launch of APN Console, or using any Software. If you don't agree, don't use the Software. If you're buying a license, please read this Agreement before checkout, since all sales are final (Section C6). Section A12 requires disputes to be resolved by individual arbitration instead of in court, and waives class actions; you have 30 days to opt out of arbitration.

You must be at least 18, or the age of majority where you live, to accept this Agreement. If you accept on behalf of a company or school, you confirm you have the authority to bind it.

Definitions

Part A: Terms for all Software

A1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software under this Agreement. The Software is licensed, not sold. Rights we don't expressly grant are reserved.

A2. Ownership

We and our licensors own the Software, including its code, design, interface, names, and documentation. It is protected by copyright, trademark, and other laws. Audio Pro Network, APN Console, and our app names and logos are our trademarks.

A3. Your Work belongs to you

We claim no ownership of Your Work. You may use, sell, license, broadcast, perform, and distribute it anywhere, in any medium, without royalties, extra fees, or credit to us. If you'd like to credit us, "made with Audio Pro Network" is welcome but never required.

You are responsible for Your Work, including having the rights to any audio, video, or other material you bring into the Software.

A4. What you may not do

Except as the law expressly allows, you may not:

  1. Copy, share, sell, rent, lend, sublicense, or distribute the Software or any License Key.
  2. Reverse engineer, decompile, disassemble, or try to derive the source code of the Software.
  3. Bypass, disable, or tamper with licensing, activation, trial limits, or other protections.
  4. Modify the Software, remove our notices, or create derivative works of it.
  5. Rebrand or repackage the Software, or include it in another product.
  6. Use the Software in a way that breaks the law or infringes anyone's rights.
  7. Claim that we endorse or sponsor you or Your Work.

A5. No AI training

You may not use the Software, its code, interface, documentation, or behavior to train, test, build, or improve any artificial intelligence or machine learning system, including systems that imitate or compete with the Software. This includes collecting the Software's outputs in bulk as training data. Ordinary use of Your Work is not restricted by this section. Using the Software for AI training requires our separate written agreement.

A6. Third-party software, trademarks, and open source

A7. Compatibility

We test the Software on current, supported versions of macOS, browsers, and host software. We can't guarantee it will work with every system, configuration, beta release, or future update from Apple, Avid, or anyone else. A third-party change may stop the Software working until we update it, or permanently. We may retire support for older systems or older Software when keeping it working becomes impractical.

A8. Warranty disclaimer

Except for the limited warranty in Section C6, and to the fullest extent the law allows, the Software is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We don't warrant that the Software will be error-free, uninterrupted, or meet your needs.

Back up your work. You are responsible for keeping backups of your sessions, media, and files before and while using the Software.

Check before you deliver. You are responsible for checking anything the Software produces before you rely on it or deliver it, including sync, timecode, marker positions, file integrity, and the accuracy of any document, before it goes to a client, a session, or a stage.

Estimates are yours. Estimates, schedules, and rates produced with the Software are built from numbers you enter. They are your own business figures, not financial, legal, or business advice from us.

A9. Limitation of liability

To the fullest extent the law allows:

  1. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost work, missed deadlines, or business interruption, even if we were told they were possible.
  2. Our total liability for all claims related to the Software is limited to the greater of the amount you paid us for it in the 12 months before the claim, or US $50.

Some places don't allow these limits, so they may not fully apply to you. Nothing here limits rights you have under consumer protection law.

A10. Indemnity

You agree to defend and hold us harmless from claims, losses, and reasonable legal fees arising from your breach of this Agreement, your misuse of the Software, or Your Work.

A11. Termination

This Agreement lasts until it ends. You may end it at any time by deleting the Software. We may end your license if you materially breach this Agreement, commit fraud, or abuse the Software, and we may revoke the related License Key. When it ends, stop using and delete the Software. Your Work properly made before termination stays yours. Sections A2, A3, A4, A5, A8, A9, A10, A12, and A14 survive.

A12. Disputes and governing law

New York law governs this Agreement, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Before starting any legal action, you agree to contact us in writing at notices@audiopronetwork.com, describe the issue, and give us 30 days to try to resolve it informally.

Arbitration. If we can't resolve a dispute informally, you and we agree to resolve it by binding individual arbitration, not in court. The arbitration will be run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at adr.org. It will be held in New York, New York, or by video, phone, or written submissions where the rules allow. The arbitrator may award the same individual relief a court could, and the arbitrator's decision can be entered as a judgment in any court that has jurisdiction. The Federal Arbitration Act governs this section.

Exceptions. Either of us may instead bring an individual claim in small claims court if it qualifies. Either of us may also go to court to stop infringement or misuse of intellectual property, including our Software, trademarks, and licensing protections.

Class action waiver. To the fullest extent the law allows, you and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not combine more than one person's claims or preside over any class or representative proceeding. If this waiver is found unenforceable for a claim, that claim goes to court, not to arbitration.

Opting out. You may opt out of arbitration within 30 days of first accepting this Agreement by emailing notices@audiopronetwork.com with your name and the email you used to buy or register, saying you opt out of arbitration. Opting out does not affect any other part of this Agreement.

Courts. Any claim that is not arbitrated goes exclusively to the state or federal courts located in the State of New York, and you consent to their jurisdiction.

A13. Changes to this Agreement

We may update this Agreement. We'll post the new version with its date, and for paid customers we'll also give notice by email or in APN Console before material changes take effect. Licenses you've already bought stay under the terms in effect when you bought them, unless you accept a later version. If you don't accept a change, you may stop using the Software.

A14. General

Part B: Free Web Apps

B1. Free to use

The Free Web Apps are free for personal and commercial work. No account, purchase, or License Key is needed. You may use them on any device you control.

B2. Your files stay on your device

Each Free Web App loads from our website when you open it, like any web page. After that, it processes your files inside your browser. Your audio, video, and session files are never uploaded to us or to anyone else. Our website may log ordinary visit information as described in our Privacy Policy.

B3. Use them from our site

Use the Free Web Apps from our websites. You may not copy, host, mirror, embed, or redistribute them, or offer them to others as a service, without our written permission. Sharing a link to our page is always welcome.

B4. Changes and availability

We may update, change, limit, or retire any Free Web App at any time, without notice. A Free Web App may later become part of a paid product.

B5. No support or warranty

The Free Web Apps come with no support obligation and no warranty of any kind. Section C6 does not apply to them. Our liability for them is limited as described in Section A9.

Part C: APN Console and the Suite

C1. Your license

When you pay in full, you get a perpetual, personal license for one named person to use APN Console and the Suite. The license is yours alone. Other people, including coworkers and clients, need their own.

C2. Two Machines

You may activate the Suite on up to 2 Machines that you own or control, and that only you use. To move to a new Machine, deactivate an old one first, or contact us and we'll help.

C3. Every app and update, one price

Your license includes, at no extra cost:

This is for as long as we offer the Suite through APN Console. We decide which apps join the Suite and when. We aren't obligated to release any particular app, feature, or update. We may change or retire an app, for example when Apple or Avid changes make it impractical to keep working. Apps we sell separately outside the Suite are not included.

C4. Activation and what APN Console sends

APN Console is the only Suite app that connects to the internet. It connects to our payment provider (Gumroad) to activate and verify your license, and to our download servers to fetch the signed list of Suite apps, the apps themselves, and their updates. It sends only your License Key, a machine identifier, and app version details. It never sends your audio, video, sessions, or files.

No other Suite app makes any network connection of any kind. Everything those apps need, including fonts, code libraries, and file-format engines such as AAF, is bundled inside the app. They contain no analytics, tracking, advertising, or automatic crash reporting.

If a license is refunded, charged back, shared, or obtained by fraud, we may deactivate it.

C5. Free trial

APN Console includes a free, fully working 7-day trial so you can confirm the Suite works on your system, with your host software and workflow, before buying. When the trial ends, buy a license or stop using the Suite. Trials are for evaluation only and may not be reset or extended by tampering.

C6. All sales are final

The 7-day trial is how you decide whether the Suite is right for you. Once you buy, all sales are final. We don't give refunds for change of mind, buying by mistake, an unsupported system, or no longer needing the Suite.

If something is broken. For 30 days from purchase, we warrant that the Suite will substantially work as described on our website and in its documentation, on a supported system, and that downloads will be free of malicious code when delivered. If it doesn't, contact us within those 30 days with the problem and the steps to reproduce it. We'll work to fix it, usually with guidance or an update. If we can't, we'll make it right, which may include a refund at our discretion. If we refund, your license and activations end.

This section doesn't limit any rights you have under applicable law.

C7. No transfers

Your license can't be sold, given, transferred, or assigned to anyone else.

C8. Other license types

We may issue licenses marked Not For Resale (NFR), for review, education, or promotion, and site licenses for companies and schools covering a stated number of users or Machines. These follow this Agreement plus any terms stated when they're issued. NFR licenses are personal to the recipient and can't be sold.

C9. No automated services

You may not run the Suite on a server, or as part of any automated or online service that processes other people's files, without a separate written agreement with us. Using the Suite yourself on client work is fine.
